The Licensor: CONSYSTEAM s.r.o., a corporation organized and existing under the laws of the Slovak Republic, with registration No (IČO): 56829914, Tax ID (DIČ): 2122463981, located at Doležalova 15C, 821 04 Bratislava - Ružinov, Slovenská republika (the “Licensor”).
The Licensee: Any legal entity or professional user who completes the Acceptance Procedure (the “Licensee”).
2.1. Cumulative Actions: This Agreement is a legal contract. The Licensee accepts and becomes bound by this Agreement only upon the cumulative completion of ALL the following actions:
2.2. Conclusion Moment: The Agreement is deemed concluded and becomes legally binding only at the moment the Payment is successfully received by the Licensor. Until payment is finalized, no License is granted, except for the limited rights during a Trial Period.
3.1. License Grant: Subject to the terms herein, the Licensor grants the Licensee a non-exclusive, non-transferable, revocable License to utilize the Slotifai Platform (including API, game catalogs, and AI-powered tools) solely for the Licensee’s internal business operations.
4.1. Pricing Visibility: Specific Subscription Fees are not publicly displayed on the Platform’s landing pages. Fees for various Service Plans are made available to the Licensee only after registration within the "Billing" or "Subscription" section of the User Account.
4.2. Determination of Fee: The License Fee is determined based on the plan selected by the Licensee within the Platform. The final agreed amount, including applicable VAT (DPH), will be reflected in the Invoice.
4.3. Payment as Confirmation: The payment of an Invoice constitutes the Licensee’s unconditional acceptance of the pricing, duration, and scope of Services as presented in the User Account at the time of purchase.
5.1. Trial Period: The Licensor may provide a 7-day Trial Period. Access to premium features after this period requires a paid subscription.
5.2. Renewal: Prior to the expiration of the current term, a Renewal Invoice will be generated within the User Account. Payment of this invoice constitutes acceptance for the subsequent term.
5.3. Expiration: Failure to settle the Renewal Invoice by the start date of the new period results in automatic suspension of access and termination of the License.
5.4. Refunds: In accordance with B2B standards, refunds are granted only at the Licensor's discretion. A pro-rata refund may be requested within 14 days of the initial payment, provided the Services have not been significantly utilized (e.g., minimal API calls or report downloads).
6.1. Competitive Use: The Licensee is strictly prohibited from using the Platform to build, develop, or improve a similar or competitive service.
6.2. No Redistribution: The Licensee shall not sublicense, sell, or permit third-party access to the Platform’s data or its Application Programming Interface (API).
7.1. Nature of Data: The Licensee acknowledges that data on the Platform is a mathematical interpretation of Open Source Intelligence (OSINT) and AI-processed models. It is provided for informational purposes and should not be treated as a guarantee of market outcomes.
7.2. Limitation: The Licensor is not liable for business decisions or loss of profits. Total liability is limited to the amount paid by the Licensee for the current subscription period.
8.1. Ownership: The Licensor retains all rights to the Platform’s source code, algorithms, game catalog databases, and Slotifai AI technologies.
8.2. Trademarks: The use of "Slotifai" and associated logos is strictly prohibited without prior written consent.
Each Party shall protect the proprietary information of the other (including pricing tiers disclosed within the account) for the duration of the Agreement and for two (2) years thereafter.
10.1. Governing Law: This Agreement is governed by the laws of the Slovak Republic.
10.2. Jurisdiction: All disputes shall be subject to the exclusive jurisdiction of the competent courts in Bratislava, Slovakia.
